Mayor McAndrew called the meeting to order and requested a roll call. The following individuals were in attendance:

Mayor McAndrew announced that this is the opportunity for the Board of Aldermen to listen to comments from citizens concerning any matter of the city's business or any matter over which the Board of Aldermen has control. Anyone wishing to address any aspect of a matter that is the subject of a public hearing scheduled for the same meeting shall confine any comments on that subject to the public hearing and not address that subject during an open forum. Each person addressing the Board of Aldermen must complete and submit to the city clerk a speaker card containing the speaker's name, residential address and the subject upon which the speaker desires to speak. Each speaker is limited to three minutes to address the Board of Aldermen during an open forum.

A PUBLIC HEARING AND AN ORDINANCE AMENDING CHAPTER 405 ESTABLISHING REGULATIONS FOR RETAIL SMOKING ESTABLISHMENTS
Mayor McAndrew opened the public hearing and requested proof of publication.
City Manager Gipson reported that the community has expressed a desire to increase the oversight and regulation of the sale and marketing of tobacco, non-tobacco nicotine products, alternative nicotine products, electronic nicotine delivery systems, vapor products, hemp-derived intoxicants, and supporting paraphernalia to protect the health, safety, and welfare of the residents, businesses, and property owners in the City. The quantity and variety of products under these categories have been increasing in availability with specific marketing campaigns focused on young people. In response, staff have proposed regulations that reinforce recommendations, best practices, and requirements of the Food and Drug Administration to allow for additional local enforcement.
The proposed regulations create a definition for a retail smoking establishment, which is a business primarily engaged in the sale of the products listed above. This definition allows for specific protection to be placed on this use outside of more general retail use. Staff propose limiting the permitted locations for retail smoking establishments to the C-2 and HDC zoning districts, with

The buffer requirements proposed match those currently placed on marijuana dispensaries. In addition, staff have drafted proposed revisions to licensing regulations and offenses provisions, outlined in a separate agenda item.
The text amendment was presented to the Plan Commission on November 3, 2025, and unanimously recommended to the Board of Aldermen for approval.
City Manager Gipson noted a revised version has been distributed to the Board before tonight’s meeting.

11-11-2025 BOA Minutes November 11, 2025 Page 3 of 14 City Manager Gipson reported that this is a public hearing to consider amending Chapter 425 Sign Regulations of the City’s Land Use Regulations to revise regulations governing ground and blade signs. The Plan Commission-Architectural Review Board and the Board of Aldermen are in the process of implementing key results from the Clayton Tomorrow 2040 Comprehensive Plan. One key result is an evaluation of various review processes to identify opportunities to streamline procedures and better address community concerns. Proposed revisions seek to revise elements of the sign code in conjunction with this key result.

AN ORDINANCE AMENDING TITLE VI OF THE CLAYTON CITY CODE BY ENACTING A NEW CHAPTER 617 PERTAINING TO THE BUSINESS LICENSE FOR RETAIL SMOKING ESTABLISHMENTS City Manager Gipson reported that the proposed ordinance enacts a new chapter of the Clayton City Code by requiring an additional license for any Retail Smoking Establishment selling tobacco, vapor, alternative nicotine, or hemp-derived intoxicant products. Applicants must demonstrate good moral character, hold at least $50,000 in net assets, and maintain $1 million in liability insurance. Licenses are valid for one year, non-transferable, and may be suspended or revoked after investigation and hearing if violations occur. The ordinance also mandates background checks, character references, and compliance with zoning and health standards, while exempting existing lawful operators until the next licensing period.

Licensees must conduct quarterly lab testing of hemp-derived products, complete annual training related to sales to minors, verify customer age digitally, and comply with packaging and display limits (e.g., no free samples, flavored products except menthol/tobacco, or visible product displays from outside). Sales are prohibited between 1:30 a.m. and 6:00 a.m., and barred windows or doors are forbidden.
Chelli McLellan, 8100 Pershing Avenue, member of the “All In Coalition”, addressed the Council with concerns of the age limit allowed to work in the subject establishment.
Wally Pankowski, 4 N. Central Avenue, addressed the Council requesting that the Council reconsider the prohibition against allowing product samples, and to also exempt cigars.

City Manager Gipson reported that this ordinance revises Article XIII of Chapter 215 of the Clayton City Code to expand local tobacco regulations to include nicotine, vapor, hemp-derived, and related products. It introduces new definitions such as “Covered Products,” “Hemp-Derived Intoxicants,” and “Retail Smoking Establishment.” The ordinance prohibits selling or providing any Covered Product to persons under 21, restricts minors from entering or loitering near establishments selling these products, and mandates the use of digital age-verification systems.

AN ORDINANCE APPOINTING CERTAIN BOARD OF DIRECTORS TO THE 25 NORTH CENTRAL COMMUNITY IMPROVEMENT DISTRICT (CID)
City Manager Gipson reported that on June 9, 2015, the City of Clayton created the 25 North Central Community Improvement District (CID) for the property located at 25 N. Central Avenue, now operating as Two Twelve Clayton. The CID imposes an additional 1% sales tax on restaurants and other retail sales. The CID uses the revenues from the sales tax and special
11-11-2025 BOA Minutes November 11, 2025 Page 7 of 14 assessment to reimburse the Developer for certain eligible redevelopment costs totaling $1,500,000.
The CID is governed by a five-member board of directors appointed by the Mayor with the consent of the Board of Aldermen. Only registered voters residing within the CID and the authorized representatives of property owners within the CID may be appointed to the Board of Directors. In this case, the building owner is the sole property owner within the CID. The Bylaws of the District explicitly state that Directors of the District hold office for the term for which appointed or until a successor has been appointed and qualified. The property has recently been sold, and the CID Board of Directors is requesting a new slate of candidates as follows:

(formerly PassportParking, Inc.), originally executed on August 6, 2016, and previously amended on October 27, 2020.
The original Agreement established Passport as the City's exclusive provider for mobile payments for parking (MPP), subject to limited exceptions added in the 2020 amendment concerning Third-Party Providers. As the mobile payments market has matured, the City has determined that removing the exclusivity clause is in the best interest of the public to encourage innovation, enhance user experience, and potentially increase revenue through a more competitive vendor environment.

City Manager Gipson reported that on November 4, 2025, the people of Clayton amended the City Charter to update and simplify administrative and procedural provisions. The proposed ordinance is intended to establish an accessible and all-encompassing Code of Ordinances by aligning the City Code with Charter provisions related to the City Manager. Six new sections would be created that restate language contained within the City Charter.

AN ORDINANCE AMENDING CHAPTER 110 OF THE CLAYTON CITY CODE PERTAINING TO ADMINISTRATIVE DEPARTMENTS OF THE CITY
City Manager Gipson reported that on November 4, 2025, the people of Clayton amended the City Charter to update and simplify administrative and procedural provisions. Article II, Section 14 of the Clayton Charter provides that the city council by ordinance may create, change, and abolish offices or departments. The proposed ordinance amends several sections of the Municipal Code pertaining to administrative departments, including the following:
• Establishes the following departments and officers of the city who shall have supervision and control of their respective departments, subject to the authority of the city manager: o economic development department, directed by the director of economic development o finance department, directed by the director of finance; o fire department, directed by the fire chief o parks and recreation department, directed by the director of parks and recreation o planning and development services department, directed by the director of planning and development services o police department, directed by the chief of police o public works department, directed by the director of public works o technology services department, directed by the director of technology services.
• Lists the specific duties of the Finance Department and Director of Finance, including: o Preparation of the budget o Budget related public hearings o Open inspection of the budget o Transfer of appropriations o Establishment of tax rates

AN ORDINANCE AMENDING CHAPTER 130 OF THE CLAYTON CITY CODE PERTAINING TO THE CLAYTON MUNICIPAL JUDGE
City Manager Gipson reported that the proposed ordinance amends the Chapter of the City Code pertaining to the Clayton Municipal Judge requirements. The amendments take the provisions of the City Charter that pertain to the municipal judge and move them to the City Code. There are two modifications that have been made from the Charter to the municipal code. The first one increases the term for the judge from two years to three years and it eliminates the residency and elector status requirement that was previously in the Charter.
City Manager Gipson noted that Councilmember Yorg requested in his absence to mention to the Council that he would “like to see a preference that the judge is a resident in the ordinance.”
City Attorney clarified that the current judge’s term for which he was appointed will not extend by the passage of tonight’s ordinance. The next judge’s appointment will begin the three-year term.

AN ORDINANCE AMENDING CHAPTER 140 OF THE CLAYTON CITY CODE PERTAINING THE PARKS AND RECREATION COMMISSION
City Manager Gipson reported the proposed ordinance would amend the composition of Parks and Recreation Commission to remove the Board of Education recommended members as voting members and reestablish them as ex-officio members or non-voting members going forward. The ordinance also provides that the City Council may appoint other ex-officio members as deemed necessary. City Manager Gipson noted that he has also spoken with Stacy Siwak, President, Clayton School Board and she is aware of the proposed changes, and the ex-officio role is good. Toni Siering, Director of Parks and Recreation, was in attendance to answer questions.
Motion made by Councilmember Patel to amend Bill No. 7115, Section 140.010 by removing “Commencing with the appointments after December 1, 2026, members shall be appointed to terms of one, two, or three years such that the terms of three members shall expire in one year, the terms of two members shall expire in two year and the terms of two members shall expire in three years. Thereafter…” Councilmember Buse seconded.

Mayor McAndrew reported on the following: • Attending the St. Louis Art Fair retreat o Reported a very successful event; each artist averaging $14,000 o The organization has updated their Mission statement to include an education component; made some changes in awards o Cost to the City was approximately $150,000 • Thanks to all staff and elected officials in help in getting the Charter amendments passed
