Summary Voter approval is required to authorize the District to issue General Obligation bonds. The attached Resolution places a question on the April 7, 2026 municipal election, seeking voter authorization to borrow $135,000,000 for the purpose of constructing facility improvements. A 4/7ths (57.142857%) majority of votes will be required to authorize the bonds. Approval of the bond issue allows the District’s debt service levy of $0.5110 per $100 assessed valuation to remain unchanged, commonly referred to as a no tax rate increase bond issue.

Description of Agenda Item On February 19, 2025, a report assessing facility conditions, as well as the short and longer range facility needs of the School District of Clayton was delivered to the Board of Education. The report was prepared by Paragon Architecture and took about one year to complete. Paragon Architecture and their team of consultants performed extensive analysis of district school buildings and athletic facilities, including:  K-12 enrollment projections  Capacity and utilization analysis of existing facilities  Site and building assessments (interiors, exteriors, systems, safety, replacement plans, etc.)  Hawkins Lilley School Appraisals measuring facilities against educational requirements  District and community engagements, including surveys and forums

Paragon Architecture’s report provides guidance and options for maintaining and improving district facilities, along with cost estimates based on 2025 dollars.

Based upon the recommendations within the Paragon Architecture report, the Board of Education determined to proceed with further review, analysis and facility planning, with a focus upon three areas: 1. Improving the district’s three aging elementary school buildings 2. Adding classroom facilities at the high school to accommodate expansion of career/technical educational opportunities. 3. Improving the district’s outdoor athletic facilities

Subsequently, the following consultants were hired to work on these focus areas:  Paragon Architecture as architect of record and Perkins+Will as design architect are focused on the three elementary schools and the additional classrooms at the high school.  BLDD Architects are focused on the district’s outdoor athletic facilities.  BSI has been hired as a construction manager at-risk to develop the cost estimates and manage construction of any improvements.

Anticipated improvements will be phased and take several years to reach completion. Phase 1 projects include Glenridge Elementary (partial demolition, new construction, renovation of remainder of building), Clayton High School (new academic wing for career/technical programming), and Gay Field (renovations to stadium seating, parking, concessions, restrooms and team locker rooms). Phase 1 projects will be funded by proceeds from the proposed bond issue. Phase 2 projects include Meramec Elementary (partial demolition, new construction, renovation of remainder of building) and will require

Page 2 of 2 future bond funding. Phase 3 projects include Captain Elementary (new construction to replace existing building) and will require future bond funding.

Additionally, other projects will be funded from the District’s capital improvement funds. These projects will be spread across several budget years, and include improvements to Adzick Field, a high school softball field, and the field Wydown Middle School.

The District’s current bonded indebtedness is $28,642,000. These outstanding bonds relate to bond issues approved by voters in April 2009 (district wide facility improvements) and April 2010 (construction of new Wydown Middle School). These bonds will be fully paid off by March 2029.

Missouri statutes limit the District’s bonded indebtedness to 15% of total Assessed Valuation (AV). As AV typically increases through time, so does the debt limit. The 2025 AV is $1,736,831,960, thereby setting the District’s current debt limit at $260,524,794.

Recommendation The School District of Clayton can safely and responsibly borrow $135,000,000 for capital improvements to district facilities and maintain the debt levy at $0.5110 per $100 assessed valuation. Accordingly, adoption of the resolution calling for a bond election in April 2026 is hereby recommended.

Motion Move to adopt the Resolution calling an election to secure voter authorization to issue general obligation bonds for the purpose of improving school facilities as set forth in the Resolution.

A RESOLUTION CALLING A BOND ELECTION IN THE SCHOOL DISTRICT OF CLAYTON, ST. LOUIS COUNTY, MISSOURI.

BE IT RESOLVED BY THE BOARD OF EDUCATION OF THE SCHOOL DISTRICT OF CLAYTON, ST. LOUIS COUNTY, MISSOURI, AS FOLLOWS:

Section 1. The Board of Education of the School District of Clayton, St. Louis County, Missouri (the “District”), finds it necessary and hereby declares its intent to borrow $135,000,000 for the purpose of acquiring, constructing, improving, renovating, furnishing and equipping school sites, buildings and related facilities (as further described below, the “Project”) and to evidence such borrowing by the issuance of general obligation bonds of the District in the principal amount of $135,000,000 (the “Bonds”).

Section 2. An election is hereby ordered to be held in the District on Tuesday, April 7, 2026, on the following proposition:

Shall the School District of Clayton, St. Louis County, Missouri, borrow money in the amount of One Hundred Thirty-Five Million Dollars ($135,000,000) for the purpose of constructing, improving, renovating, acquiring, furnishing and equipping school sites, buildings and related facilities, including but not limited to constructing new and/or renovating or equipping existing classrooms, libraries, fine and performing arts spaces, gymnasiums, storm shelters, building operational components, safety, security, and technology infrastructure, and outdoor play spaces and athletic facilities, and issue general obligation bonds for the payment thereof? If this proposition is approved, the adjusted debt service levy of the school district is estimated to remain unchanged at the current levy of $0.5110 per one hundred dollars of assessed valuation of real and personal property.

The authorization of the Bonds will authorize the levy and collection of an annual tax in addition to the other taxes provided for by law on all taxable tangible property in the District sufficient to pay the interest and principal of the Bonds as they fall due.

Section 3. The form of the Notice of Bond Election for said election, a copy of which is attached hereto and made a part hereof, is hereby approved.

Section 4. The Secretary of the Board of Education is hereby authorized and directed to notify the Board of Election Commissioners of St. Louis County, Missouri, of the adoption of this Resolution no later than 5:00 p.m. on January 27, 2026, and to include in said notification all of the terms and provisions required by Chapter 115 of the Revised Statutes of Missouri, as amended.

The District expects to make certain preliminary expenditures after the date of adoption of this Resolution in connection with the Project, and the District intends to reimburse itself for such expenditures with the proceeds of the Bonds. The maximum principal amount of Bonds expected to be issued for the Project is $135,000,000.

Section 6. This Resolution shall be in full force and effect from and after its passage.
